1. Agreement

These Terms and Conditions (“Terms”) govern your access to and use of the websites, tracking tools, and related services operated by TK Freight Inc. (“TK Freight”, “we”, “us”, or “our”). By using our services, you agree to these Terms. If you do not agree, do not use the services.

2. Services

TK Freight provides freight forwarding, shipment visibility, and related logistics tools. Public tracking may be available without an account. Client portals and document features may require login and are limited to authorized users of the customer organization.

We may update, suspend, or discontinue features at any time. We do not guarantee uninterrupted or error-free operation.

3. Accounts and access

You are responsible for keeping login credentials confidential and for activity under your account. Notify us promptly of unauthorized use. Customer administrators are responsible for managing users in their organization and for the accuracy of company profile information.

4. Acceptable use

You may not misuse the services, including by attempting unauthorized access, disrupting systems, scraping at scale without permission, uploading malware, or using the services for unlawful purposes. We may suspend or terminate access for violations.

5. Shipment information

Tracking status, ETAs, and related data are provided for operational visibility and may change as carriers, terminals, and other parties update events. Information is not a contractual guarantee of transit time, delivery date, or cargo condition unless separately agreed in writing under a transportation contract or bill of lading.

6. Documents and uploads

If you upload documents or other content, you represent that you have the right to do so and that the content does not infringe others’ rights. You grant TK Freight a limited license to store and process that content as needed to provide the services.

7. Intellectual property

The services, branding, software, and content we provide are owned by TK Freight or its licensors. You receive a limited, non-exclusive, non-transferable right to use the services as permitted by these Terms. No other rights are granted.

8. Disclaimers

Except as required by law or a separate written agreement, the services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, TK Freight and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business, arising from your use of the services. Our aggregate liability for claims relating to the online services is limited to the fees you paid us for those online services in the twelve months before the claim, or one hundred U.S. dollars if none were paid. This does not limit liability that cannot be limited under applicable law, or liability under a separate transportation contract where that contract controls.

10. Indemnity

You will defend and indemnify TK Freight against claims arising from your misuse of the services, your content, or your violation of these Terms or applicable law.

11. Changes

We may revise these Terms by posting an updated version. Continued use after the effective date constitutes acceptance of the changes. If a change is material, we will take reasonable steps to provide notice.

12. Governing law

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, unless a different jurisdiction is required by mandatory local law. Courts in California will have exclusive jurisdiction for disputes arising from these Terms, subject to any mandatory consumer protections that apply.
